Important Notice
Please read these Terms of Service carefully before using Board Beacon. By creating an account or using our platform, you agree to be bound by these Terms. If you do not agree, do not use the platform. This document is a legally binding agreement.
1. Introduction and Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Waldinger Labs LLC, the company behind Board Beacon ("Board Beacon," "we," "us," or "our"), governing your access to and use of the Board Beacon software platform, website at boardbeaconhq.com, and all related services (collectively, the "Service").
By registering for an account, accessing the Service, or clicking "I Agree," you confirm that:
- You have read and understood these Terms in their entirety;
- You are at least 18 years of age or the age of majority in your jurisdiction, whichever is greater;
- If registering on behalf of an organization (an HOA, nonprofit, sports league, community board, or similar entity), you represent and warrant that you have full legal authority to bind that organization to these Terms; and
- You agree to be bound by these Terms and all policies incorporated herein by reference, including our Privacy Policy.
2. Description of Service
Board Beacon is a cloud-based board management software platform designed for small organizational boards including, but not limited to, homeowners associations (HOAs), nonprofits, sports leagues, community organizations, and small business boards. The Service provides tools for board communication, document management, meeting coordination, voting, financial tracking, community engagement, and related governance functions.
2.1 Service Tiers
Board Beacon currently offers subscription plans as described on our pricing page at boardbeaconhq.com/pricing. Current pricing and plan features are presented to you at the point of purchase, and by completing your purchase you agree to the plan terms displayed at that time. Pricing and plan features are subject to change with notice as described in Section 4.3. The pricing page, and not these Terms, is the authoritative reference for current plan pricing and included features.
Board Beacon reserves the right to introduce additional subscription plans or modify the features included in existing plans. Any modifications to the plan you are enrolled in will be communicated at least 30 days in advance and will take effect at your next renewal date. Your continued subscription after the effective date of any plan modification constitutes your agreement to the updated plan terms.
2.2 Beta and Early-Access Features
From time to time, Board Beacon may make new or experimental features available to users on a beta or early-access basis. Such features are provided "as is" without warranty of any kind and may be modified, suspended, or discontinued at any time without notice. Your use of beta features is entirely at your own risk. Board Beacon is not liable for any loss or damage resulting from your use of, or reliance on, any beta feature. Further, Board Beacon is not offering or warranting that the use of beta and early access features are meant for compliance with any regulations or laws that are applicable to Your organization.
3. Account Registration and Responsibilities
3.1 Account Creation
To use the Service, You must create an account and provide accurate, complete, and current information. You are responsible for maintaining the accuracy of Your account information and for all activities that occur under your account.
3.2 Account Security
You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. If you suspect unauthorized access to your account, you should immediately change your password using the self-service password reset tool available on the Board Beacon login page, and contact us at support@boardbeaconhq.com. Board Beacon provides password reset as a self-service function via email verification and is not responsible for manually resetting credentials on your behalf. Board Beacon will not be liable for any loss or damage arising from unauthorized use of your credentials.
3.3 Role-Based Access
The Service includes a four-tier role system: Chair, Member, Committee Member, and Community Member. The account administrator (typically the Chair) is solely responsible for:
- Managing and assigning user roles within their board;
- Ensuring that access is granted only to authorized individuals;
- Revoking access promptly when a user's authorization ends (e.g., a board member resigns);
- The actions of all users granted access under that board's account.
Board Beacon is not responsible for unauthorized access resulting from the account administrator's failure to manage roles appropriately.
3.4 One Account Per Organization
Each subscription covers one organizational board. Creating multiple accounts to circumvent usage limits or pricing tiers is prohibited.
3.5 Account Inactivity
If a paid subscription lapses and an account remains in an unpaid or inactive state for more than 90 days, Board Beacon reserves the right to permanently delete the account and all associated data after providing at least 14 days' prior written notice to the email address on file. You are responsible for keeping your account email address current and accurate. Board Beacon is not responsible for missed notices sent to an outdated or invalid email address, and delivery of notice to the address on file constitutes valid notice regardless of whether it is received. Board Beacon is not liable for any loss of data resulting from deletion of an inactive account following proper notice.
3.6 Communications Consent
By creating an account, You consent to receive transactional emails from Board Beacon related to your account and use of the Service, including account confirmations, password resets, subscription receipts, billing notices, and service announcements. These communications are necessary to operate the Service and cannot be opted out of while your account remains active. Board Beacon does not send marketing or promotional emails to users who have not opted in to receive them. From time to time, Board Beacon may send product updates, feature announcements, or other marketing communications to users who have opted in. You may opt out of marketing communications at any time by clicking the unsubscribe link in any marketing email or by updating your communication preferences in your account settings. Opting out of marketing communications will not affect your receipt of transactional emails, which are required for operation of the Service.
4. Subscription, Billing, and Payment
4.1 Free Trial
New accounts receive a 60-day free trial ("Trial Period"). To begin your trial, a valid payment method (credit or debit card) is required at signup. You will not be charged during the Trial Period. At the end of the 60-day Trial Period, your chosen subscription plan will automatically activate and your payment method on file will be charged at the applicable monthly or annual rate unless you cancel before the Trial Period ends.
You may cancel your trial at any time before the Trial Period ends without charge. Instructions for cancellation are available in your account settings.
4.2 Subscription and Billing
Following the Trial Period, subscriptions are billed in advance on a recurring basis, monthly for monthly plans and annually for annual plans. By providing a payment method, you authorize Board Beacon (or its payment processor) to charge you the applicable subscription fee on each billing date.
4.2.1 Payment Processing and Card Data
Board Beacon uses Stripe, Inc. as its third-party payment processor. All payment card information (including credit and debit card numbers, expiration dates, and security codes) is collected, stored, and processed directly by Stripe. Board Beacon does not store, transmit, or have access to your full card number or card security code at any point. By providing your payment information, you agree to Stripe's Terms of Service and Privacy Policy, available at stripe.com. Board Beacon is not responsible for any errors, outages, or data incidents originating from Stripe's systems.
4.3 Pricing Changes
Board Beacon reserves the right to change subscription pricing at any time. We will provide at least 30 days' advance notice of any price increase by email to the address associated with your account. Continued use of the Service after the effective date of a price change constitutes your acceptance of the new price.
4.4 Plan Changes
If Board Beacon introduces additional subscription plans in the future, you may change your plan at any time through your account settings. Upgrades to higher-tier plans take effect immediately, and you will be charged a prorated amount for the remainder of the current billing period. Downgrades take effect at the start of your next billing cycle; no partial-period refunds are issued for downgrades.
4.5 No Refunds
Except as required by applicable law, all subscription fees are non-refundable. If you cancel your subscription, you retain access to the Service through the end of the current paid billing period, meaning through the end of the current calendar month for monthly subscribers, or through the end of the current annual term for annual subscribers, after which your account will be downgraded or deactivated. Following deactivation at the end of your final paid billing period, your data will be retained for 30 days, during which you may export your content through the data export tools described in Section 8.4. To be clear: if you cancel on May 7 but your billing period runs through March 1 of the following year, your data will remain accessible through March 1 and the 30-day export window begins on March 1, not on the date you submitted your cancellation. After that 30-day period, all of your data will be permanently deleted in accordance with Section 8.5. No refunds are issued for unused portions of any billing period, regardless of when during the period you cancel. If Board Beacon issues a credit to your account (for example, as a goodwill gesture for a service disruption), that credit will be applied to your next billing cycle and has no cash value. Credits cannot be redeemed for cash, transferred, or applied retroactively to prior charges.
4.6 Failed Payments
If a payment fails, Board Beacon will attempt to notify you by email and may retry the charge. If payment remains unsuccessful after a reasonable period (typically 7 days), Board Beacon reserves the right to suspend or restrict access to your account until payment is resolved. You remain responsible for all unpaid amounts. If your account is ultimately terminated due to non-payment, the 30-day data retention and export terms of Section 8.5 apply from the date access is suspended, not from the date the original payment was due.
4.7 Taxes
Where applicable, sales tax, VAT, or similar taxes may be calculated and collected on your subscription by Stripe, Inc., our third-party payment processor, using Stripe Tax. The applicable tax rate is determined by Stripe based on your billing address and the tax laws of your jurisdiction. Board Beacon does not independently calculate or collect taxes, all such determinations are made by Stripe in accordance with its tax calculation services. You are responsible for ensuring your billing address on file with Stripe is accurate, as this affects how taxes are calculated on your subscription.
Tax-Exempt Organizations. If your organization is exempt from sales tax (for example, as a 501(c)(3) or other tax-exempt entity), tax exemption is managed directly through Stripe. To apply for tax-exempt treatment, you must submit a valid exemption certificate through Stripe's customer portal. Stripe will review and apply the exemption to future billing cycles upon verification. Tax-exempt status cannot be applied retroactively to charges already processed. Federal tax-exempt status does not automatically confer exemption from state or local taxes, eligibility depends on the laws of your jurisdiction. Board Beacon does not provide tax advice; please consult a qualified tax advisor with questions about your organization's exemption eligibility.
5. Service Availability and Downtime
5.1 No Uptime Guarantee
Board Beacon does not guarantee any specific level of uptime or service availability. The Service is provided on an "as available" basis. We do not warrant that the Service will be uninterrupted, error-free, or available at any particular time.
5.2 Scheduled Maintenance
Board Beacon may perform scheduled maintenance on the Service from time to time, which may result in temporary unavailability. Where practicable, we will provide advance notice of planned maintenance windows via email or an in-app notice. Scheduled maintenance does not constitute a breach of these Terms and does not entitle you to any refund or credit.
5.3 Unplanned Outages
Unplanned service outages may occur due to factors including, but not limited to, software defects, infrastructure failures, third-party service provider outages (including Supabase and Netlify), cyberattacks, or other events outside Board Beacon's reasonable control. Board Beacon will use commercially reasonable efforts to restore service promptly following any unplanned outage.
5.4 No Refunds or Credits for Downtime
Board Beacon shall not be liable for any damages, losses, or costs arising from service unavailability, whether planned or unplanned. No refunds, credits, or other compensation will be issued for periods of service unavailability, regardless of the duration or cause, except at Board Beacon's sole discretion as a goodwill gesture. Any goodwill credits issued are subject to the terms of Section 4.5.
5.5 Third-Party Dependencies
The Service relies on third-party infrastructure and service providers, including Supabase (database), Netlify (hosting), and Stripe (payments). Board Beacon is not liable for any unavailability, data loss, or degraded performance caused by outages or failures of these third-party providers. Your use of the Service is also subject to those providers' own terms of service.
6. Acceptable Use Policy
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service to:
- Harass, threaten, intimidate, stalk, bully, or harm any individual, including community members, board members, or any other person;
- Upload, post, or transmit any content that is unlawful, defamatory, obscene, or that infringes the intellectual property or privacy rights of any third party;
- Post, upload, or transmit hate speech, meaning content that promotes, glorifies, or incites hatred, discrimination, or violence against any individual or group based on protected characteristics including race, ethnicity, national origin, religion, gender, gender identity, sexual orientation, disability, or age;
- Make or transmit credible threats of physical violence against any individual or group;
- Upload, post, or transmit sexually explicit or pornographic images, video, or other content, regardless of whether such content would meet the legal definition of "obscene", Board Beacon is a community governance platform used by organizations that may include minors and elderly residents, and content that is sexually explicit or graphic in nature is inappropriate in this context regardless of its legal classification;
- Upload, post, or transmit graphic images or video depicting violence, gore, serious injury, or death;
- Upload, post, distribute, or threaten to distribute non-consensual intimate imagery (sometimes referred to as "revenge porn"), meaning sexually explicit images or video of a person shared without that person's consent;
- Distribute malware, viruses, or any harmful code;
- Attempt to gain unauthorized access to any Board Beacon systems, other users' accounts, or another organization's data;
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service;
- Use the Service to conduct, facilitate, or disguise illegal votes, fraudulent governance activities, or activities that violate your organization's governing documents or applicable law;
- Misrepresent your authority or identity, including creating a board account to impersonate or interfere with a legitimately constituted organization;
- Scrape, crawl, or systematically extract data from the Service;
- Resell, sublicense, or otherwise commercialize the Service without our written consent; or
- Use the Service in any manner that could damage, disable, overburden, or impair the Service or interfere with any other party's use of the Service.
Board Beacon reserves the right to investigate and take appropriate action against any violation of this policy, including removal of offending content and immediate suspension or termination of your account without refund. Board Beacon may, but is not obligated to, monitor content on the Service for policy violations.
To report a potential violation of this policy, including hate speech, threats, or harassment, please contact Board Beacon at support@boardbeaconhq.com. We will review reports promptly and take action as appropriate.
Zero-Tolerance Violations. Certain conduct is so serious that no cure period or advance notice is warranted. Board Beacon may terminate your account immediately and without prior notice upon a reasonable determination that you have: (a) made a credible threat of physical violence against any person; (b) posted or distributed child sexual abuse material or other child exploitation content; (c) posted or distributed non-consensual intimate imagery; (d) engaged in conduct constituting a hate crime or targeted harassment campaign; or (e) used the Service to facilitate or incite illegal discrimination against a protected class. Immediate termination under this paragraph does not entitle you to a refund and does not require the 10-day cure period described in Section 13.2.
7. Content, Data Ownership, and Licenses
7.1 Your Content
You retain full ownership of all data, documents, meeting minutes, financial records, communications, forms, and other content that you upload or create within the Service ("Your Content"). Board Beacon does not claim ownership of Your Content.
7.2 License to Board Beacon
By uploading or creating content within the Service, you grant Board Beacon a limited, non-exclusive, royalty-free license to store, process, display, and transmit Your Content solely to the extent necessary to provide the Service to you. This license terminates when you delete the content or close your account (subject to the data retention period described below).
7.3 No Use of Your Content for Training
Board Beacon will not use Your Content to train machine learning models or artificial intelligence systems without your explicit prior consent.
7.4 Feedback and Suggestions
If you submit ideas, suggestions, enhancement requests, or other feedback regarding the Service ("Feedback"), you grant Board Beacon a perpetual, irrevocable, worldwide, royalty-free license to use, incorporate, and commercialize that Feedback in any way, without compensation or attribution to you. Feedback does not constitute Your Content and is not subject to the confidentiality or data protections applicable to Your Content. You represent that any Feedback you provide does not contain confidential information of any third party.
7.5 Board Beacon Intellectual Property
All rights, title, and interest in the Service, including software, code, design, trademarks, logos, and documentation, are owned exclusively by Waldinger Labs LLC. These Terms do not grant you any rights in Board Beacon's intellectual property except the limited right to use the Service as described herein.
7.6 Community Member Data
When your organization collects information from Community Members through the Community Portal or Community Form Builder, your organization acts as the data controller for that personal information, and Board Beacon acts as a data processor. Your organization is responsible for ensuring that your collection and use of Community Member data complies with applicable privacy laws and your organization's own privacy representations to those individuals.
8. Data Privacy and Security
8.1 Privacy Policy
Your use of the Service is also governed by our Privacy Policy, available at boardbeaconhq.com/privacy, which is incorporated into these Terms by reference. Please review the Privacy Policy to understand our data practices.
8.2 Data Isolation
Each board on Board Beacon operates in a completely isolated data environment. Your organization's data is not accessible to other organizations using the Service. Board Beacon employs row-level security and related technical measures to enforce this isolation.
8.3 Security Measures
Board Beacon implements industry-standard security measures including encrypted data transmission (TLS/HTTPS), secure cloud infrastructure, and role-based access controls. However, no method of internet transmission or electronic storage is 100% secure. Board Beacon cannot guarantee absolute security and is not responsible for unauthorized access resulting from circumstances beyond our reasonable control.
8.4 Data Portability and Export
While your account is active, the account administrator (Chair) may export organizational data using the built-in data export tool. The following data types are available for export: (a) Members list; (b) Meetings; (c) Votes; (d) Documents list; (e) Tasks; and (f) Financial records. Each data type is exportable as a CSV file. A PDF summary report is also available. Not all platform content may be exportable, Board Beacon does not guarantee that all data entered into the Service can be retrieved in an exportable format.
8.5 Data Retention After Termination
Upon cancellation or termination of your account, Board Beacon will retain Your Content for 30 days following the last day of your final paid billing period (the "Effective Termination Date"), during which time you may export your data using the tools described in Section 8.4. For clarity: the Effective Termination Date is the last day of the billing period for which payment has been made, not the date on which a cancellation notice is submitted. For example, if you cancel on May 7 but your subscription runs through March 1 of the following year, your data remains fully accessible through March 1, and the 30-day export window begins on March 1. After this 30-day export window, Board Beacon will permanently delete Your Content from its active systems. Note: The 14-day advance notice referenced in Section 3.5 (inactive account deletion) and this 30-day export window are separate and non-conflicting provisions, Section 3.5 applies to accounts inactive for 90+ days with lapsed payments, while this section governs post-cancellation data retention for all terminations. All references to data deletion throughout these Terms are governed by and consistent with this Section 8.5. Certain information may be retained longer as required by applicable law or legitimate legal process.
8.6 Data Breach Limitation of Liability
Board Beacon maintains industry-standard technical and organizational safeguards to protect data stored within the Service. However, no security system is impenetrable, and Board Beacon cannot guarantee that unauthorized third parties will never be able to defeat those measures. In the event of a data breach or security incident, Board Beacon's liability is subject to the following:
- No liability for third-party breaches. Board Beacon shall not be liable for any unauthorized access, disclosure, alteration, or destruction of data caused by third-party actors, including hackers, cybercriminals, or other malicious parties, provided that Board Beacon has implemented and maintained reasonable security measures.
- No liability for infrastructure providers. Board Beacon relies on third-party cloud infrastructure and service providers (including Supabase and Netlify) to host and deliver the Service. Board Beacon is not liable for data breaches, outages, or security incidents caused by or originating from those third-party providers.
- No liability for user-caused exposure. Board Beacon is not responsible for data exposure resulting from a user's failure to protect their login credentials, unauthorized sharing of account access, improper configuration of role-based permissions, or any other action or omission by the account holder or their authorized users.
- Liability cap applies. To the extent Board Beacon is found liable for any data breach or security incident, such liability shall be subject to the cap set forth in Section 11.2 of these Terms.
In the event of a confirmed data breach affecting your organization's data, Board Beacon will make reasonable efforts to notify affected account holders in accordance with applicable law. You are responsible for any breach notification obligations your organization may have to its own members, Community Members, or regulators under applicable state or federal law.
9. Governance and Legal Compliance Disclaimer
Board Beacon is a technology tool designed to facilitate organizational governance. It is not a substitute for legal advice, parliamentary procedure counsel, or compliance guidance. Specifically:
- Board Beacon does not represent or warrant that use of the Service satisfies any specific legal governance requirement applicable to your organization, including state HOA statutes, nonprofit corporation laws, or other regulatory requirements governing board meetings, notice requirements, quorum, voting procedures, or recordkeeping;
- Your organization is solely responsible for ensuring that its use of the Service complies with its own governing documents (bylaws, CC&Rs, operating agreements, etc.) and all applicable laws;
- Votes and decisions recorded on the Service do not carry independent legal weight, their validity is determined by your organization's governing documents and applicable law;
- Financial records maintained in the Service are for organizational tracking purposes only and do not constitute audited financial statements or tax filings; and
- You should consult qualified legal counsel for questions about your organization's specific governance obligations.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BOARD BEACON EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING:
- ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT;
- ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR HARMFUL COMPONENTS;
- ANY WARRANTY THAT THE SERVICE WILL MAINTAIN ANY PARTICULAR LEVEL OF UPTIME OR AVAILABILITY;
- ANY WARRANTY REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT OR INFORMATION AVAILABLE THROUGH THE SERVICE; AND
- ANY WARRANTY THAT THE SERVICE WILL MEET YOUR ORGANIZATION'S SPECIFIC GOVERNANCE OR LEGAL REQUIREMENTS.
Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you in full.
11. Limitation of Liability
11.1 Exclusion of Consequential Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WALDINGER LABS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:
- LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY;
- COSTS OF PROCURING SUBSTITUTE SERVICES;
- ANY LOSS ARISING FROM SERVICE DOWNTIME, MAINTENANCE WINDOWS, OR UNAVAILABILITY OF THE SERVICE, WHETHER PLANNED OR UNPLANNED;
- ANY LOSS ARISING FROM DECISIONS MADE BY YOUR ORGANIZATION BASED ON INFORMATION IN THE SERVICE;
- ANY LOSS ARISING FROM VOTES, ELECTIONS, OR GOVERNANCE ACTIONS CONDUCTED THROUGH THE SERVICE; OR
- ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR CONTENT,
EVEN IF BOARD BEACON HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11.2 Cap on Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WALDINGER LABS LLC'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE LESSER OF (A) THE TOTAL FEES PAID BY YOU TO BOARD BEACON IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED FIFTY DOLLARS ($150.00).
11.3 Basis of the Bargain
The limitations of liability set forth in this Section 11 reflect a reasonable allocation of risk between the parties and are a fundamental element of the basis of the bargain between the parties. Waldinger Labs LLC would not be able to provide the Service at the pricing offered without these limitations.
12. Indemnification
You agree to indemnify, defend, and hold harmless Waldinger Labs LLC and its officers, directors, employees, agents, and successors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use of or access to the Service;
- Your Content;
- Your violation of these Terms;
- Your organization's governance decisions or actions;
- Any claim by a Community Member arising from your organization's collection or use of their personal data through the Service; or
- Your violation of any applicable law or the rights of any third party.
13. Termination
13.1 Termination by You
You may cancel your subscription and terminate your account at any time through your account settings or by contacting support@boardbeaconhq.com. Cancellation takes effect at the end of the current billing period, meaning the end of the current calendar month for monthly subscribers, or the end of the current annual term for annual subscribers. You will retain full access to the Service until that date. No refunds are provided for any remaining unused portion of the billing period. Following deactivation at the end of your final paid billing period, your data will be retained for 30 days to allow export in accordance with Section 8.4. The 30-day export window begins on the last day of your final paid billing period, not the date your cancellation was submitted. After that 30-day window, all of your data will be permanently deleted per Section 8.5.
13.2 Termination by Board Beacon
Board Beacon may suspend or terminate your access to the Service, with or without notice, if:
- You materially breach these Terms and fail to cure such breach within 10 days of written notice (where cure is possible), provided that no cure period applies to Zero-Tolerance Violations as defined in Section 6;
- You engage in conduct that Board Beacon reasonably determines to be harmful to other users, third parties, or the integrity of the Service;
- Payment of subscription fees is overdue by more than 15 days; or
- Board Beacon is required to do so by law or a court order.
13.3 Effect of Termination
Upon termination: (a) your right to access and use the Service immediately ceases at the end of your final paid billing period; (b) Board Beacon will retain Your Content for 30 days following the last day of your final paid billing period to allow data export per Section 8.4; and (c) all provisions of these Terms that by their nature should survive termination shall survive, including Sections 7, 8.5, 9, 10, 11, 12, 14, and 15.
14. Dispute Resolution, Arbitration, and Class Action Waiver
Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court.
14.1 Informal Resolution
Before filing any formal legal claim, you agree to first contact Board Beacon at support@boardbeaconhq.com and describe the dispute in reasonable detail. The parties will attempt to resolve the dispute informally for a period of 30 days from receipt of the notice. Either party may proceed to arbitration if the dispute is not resolved within this period.
14.2 Binding Arbitration
If informal resolution fails, any dispute, controversy, or claim arising out of or relating to these Terms or the Service, including questions of arbitrability, shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, except as modified herein. The arbitration shall be conducted in Cuyahoga County, Ohio, or by remote means if mutually agreed. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Note: Board Beacon intends to review and, if appropriate, update this arbitration provision as the company grows. AAA arbitration fees may be disproportionate relative to the low cost of Board Beacon's subscription plans. Users with small-value claims are encouraged to consider the small claims court option in Section 14.4 as a faster and lower-cost alternative.
14.3 Class Action and Jury Trial Waiver
YOU AND BOARD BEACON EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN ANY CLASS ACTION, CLASS ARBITRATION, CONSOLIDATED PROCEEDING, OR REPRESENTATIVE ACTION. ALL CLAIMS MUST BE BROUGHT INDIVIDUALLY. THIS WAIVER IS AN ESSENTIAL ELEMENT OF THE PARTIES' AGREEMENT.
14.4 Small Claims Exception
Notwithstanding the above, either party may bring an individual claim in small claims court in Cuyahoga County, Ohio, if the claim qualifies under that court's jurisdictional limits.
14.5 Opt-Out Right
You have the right to opt out of the arbitration agreement in Section 14.2 by sending written notice to support@boardbeaconhq.com within 30 days of the date you first agree to these Terms. Your notice must include your name, account email, and a clear statement that you are opting out of arbitration. Opting out does not affect any other provision of these Terms.
15. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law principles. To the extent that any dispute is not subject to arbitration under Section 14 (including after an opt-out), you and Board Beacon each consent to the exclusive jurisdiction of the state and federal courts located in Cuyahoga County, Ohio, for the resolution of such disputes.
16. Changes to These Terms
Board Beacon reserves the right to update or modify these Terms at any time. We will provide notice of material changes by:
- Sending an email to the address associated with your account at least 14 days before the changes take effect; and/or
- Posting a prominent notice within the Service.
Your continued use of the Service after the effective date of any updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must cancel your account before the effective date.
17. General Provisions
17.1 Entire Agreement
These Terms, together with our Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and Waldinger Labs LLC with respect to the Service and supersede all prior agreements and understandings.
17.2 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
17.3 Waiver
Board Beacon's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
17.4 Assignment
You may not assign these Terms or any rights or obligations hereunder without the prior written consent of Board Beacon. Waldinger Labs LLC may freely assign these Terms, including in connection with a merger, acquisition, or sale of assets.
17.5 Force Majeure
Waldinger Labs LLC shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including natural disasters, acts of government, internet outages, cyberattacks, pandemic, or third-party service failures, including failures of Supabase, Netlify, Stripe, or other infrastructure providers.
17.6 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights. Community Members and other individuals who access a board's Community Portal are not parties to this agreement.
