What Are HOA Meeting Minutes?
Meeting minutes are the written record of what happened at a board meeting. They document who attended, what was discussed, what motions were made, how the board voted, and what action items were assigned.
Minutes are not a transcript. They are a structured summary of decisions and actions.
Most state HOA laws require that minutes be:
- Taken at every board meeting
- Approved by the board at the next meeting
- Made available to homeowners upon request
- Retained for a set number of years (typically 7, but this varies by state)
If your HOA is ever involved in a dispute, audit, or legal matter, your meeting minutes will be among the first documents reviewed.
What to Include in HOA Board Meeting Minutes
A complete set of HOA meeting minutes covers ten sections.
1. Meeting header — The name of the association, type of meeting, date, time, location, and who called the meeting to order.
2. Attendance — Names of board members present and absent, whether a quorum was established, and any homeowners or guests in attendance.
3. Approval of previous minutes — A vote to approve the prior meeting's minutes as written or with corrections.
4. Treasurer's report — Current account balances, income, expenses, and budget variance. Always include a vote to accept the report.
5. Committee and officer reports — Brief updates from each committee chair or officer. Summarize key points only.
6. Old business — Status updates on items from previous meetings. Include a vote if any decision is required.
7. New business — New items brought to the board. Include the full motion, who made it, who seconded it, and the vote count for each item.
8. Homeowner open forum — A summary of comments or concerns raised by homeowners.
9. Action items — A table listing what needs to be done, who is responsible, and the due date.
10. Adjournment — Time the meeting ended, and the date of the next meeting.
Tips for Writing Better HOA Meeting Minutes
Write in past tense. Minutes document what happened. "The board discussed" not "the board discusses."
Record decisions, not debates. You do not need to capture every comment made during discussion. Focus on the motion, the vote, and the outcome.
Be specific about motions. Write the exact wording of each motion. Vague motions lead to disputes later about what was actually approved.
Always record the vote count. Note how many were in favor, opposed, and abstained, even on unanimous votes.
Leave out opinions. Minutes are a factual record. Personal opinions expressed during the meeting do not belong in the official record.
Draft them while the meeting is fresh. The best time to write up minutes is within 24 hours of the meeting.
Circulate before the next meeting. Send the draft to board members a few days before the next meeting so approval goes quickly.
